Mark Cianci has nearly 15 years of experience representing globally leading hedge funds, private equity firms, healthcare and life sciences companies, Fortune 100 corporations, and other sophisticated clients in complex, high-stakes litigation. He has successfully litigated numerous high-profile cases in courts and arbitral forums across the United States and internationally, with an emphasis on shareholder litigation (including securities class action litigation and breach of fiduciary duty actions), M&A litigation, complex commercial litigation, and government investigation and enforcement matters. Mark also represents clients in the blockchain and cryptocurrency space in litigation and advises on a variety of regulatory and risk-mitigation considerations, including compliance with securities laws. Prior to joining Israel David LLC as a Partner, Mr. Cianci was Counsel from 2020 to 2024 at the elite international law firm Ropes & Gray LLP and was an associate at that firm from 2011 to 2020. Shareholder, Securities, and Derivative Litigation
  • Numerous representations of private equity firms, sovereign wealth funds, and leading companies in federal and state shareholder litigation arising out of merger transactions, including TPG, Silver Lake Partners, Pfizer, and Medtronic.
  • Represented industrialist William I. Koch in litigation with the former manager of the family office in connection with the manager’s alleged fraud and breaches of fiduciary duty.
  • Represented REV Group and its officers and directors in resolving multiple state and federal securities and derivative actions following a stock drop.
  • Represented the founder of DiMare Fresh in securing a favorable resolution of a derivative action involving claims for breaches of fiduciary duty.
  • Represented the directors of Avanos in multiple securities and derivative actions arising from alleged product defects.
  Complex Commercial Litigation
  • Represented Albertsons, Safeway, and SuperValu in complex litigation in state court challenging pharmacy pricing across several million transactions.
  • Represented numerous health care and life sciences companies in various federal and state qui tam actions, securing multiple dismissals and favorable settlements, including on behalf of Pfizer and Walgreens.
  • Represented private equity firms and leading companies in post-closing disputes regarding indemnification claims, earnouts, and related issues, including Bain Capital, Gridiron Capital, Fenway Partners, Genstar Capital, Gauge Capital, KRG Capital and Jefferson River Capital.
  • Represented Heartland Dental Care in a multi-jurisdictional dispute over its ownership interest in a joint venture, securing a favorable resolution on the eve of trial.
  • Represented a prominent hedge fund in litigation regarding the relocation of the Rams NFL franchise from St. Louis to Los Angeles.
  • Represented a law firm against claims of legal malpractice.
  • Defended quantitative hedge fund against trade secret misappropriation claims after it recruited traders away from a competitor.
  • Represented Tor Investment Management in a multi-jurisdictional dispute with a distressed creditor, spanning dozens of proceedings in the U.S., Asia, and the Cayman Islands.
  • Represented the National Football League in favorably resolving a dispute with a distressed joint venture partner.
  • Represented Bayer in successfully resolving a patent dispute over a skin treatment product.
  • Served as trial counsel to the Official Committee of Unsecured Creditors in the complex, multi-billion dollar bankruptcy of Linn Energy.
  Cryptocurrency Litigation
  • Counsel for a prominent individual who lost life savings in a crypto pig-butchering scam, pursuing recovery in federal court against the perpetrators and facilitators of the scheme.
  • Advised numerous alternative asset managers regarding litigation strategies concerning GBTC, the largest digital asset trust in the world and one of the world’s largest bitcoin holders.
  • Counsel to a special committee of independent directors of a large crypto exchange regarding internal governance issues stemming from government enforcement activity.
  Government, Securities, and Antitrust Enforcement Litigation
  • Served as U.S. trial and appellate counsel in successfully defending an American businessperson in a high-stakes, cross-border criminal action seeking hundreds of millions of dollars in restitution and a several-year prison sentence.
  • Represented multiple hedge funds and other clients in various SEC investigations, including alleged insider trading and accounting violations.
  • Represented a cutting-edge medical device company and its directors in successfully resolving a government investigation regarding alleged FDCA violations and several related federal and state court actions.
  • Represented a prominent healthcare services company in connection with a DOJ inquiry into alleged Medicare fraud.
  • Represented a leading health care provider in favorably resolving a state attorney general antitrust investigation.
