Israel David has more than 25 years of experience in representing corporations, boards of directors and senior corporate management in a wide array of corporate and commercial disputes – with an emphasis on securities and shareholder class actions, derivative lawsuits, corporate control and governance disputes, along with other complex business disputes. He has litigated numerous “bet-the-company” cases at the trial court and appellate levels in federal and state courts throughout the US, and in domestic and international arbitration proceedings. Mr. David has successfully represented clients in some of the largest and most high-profile securities and shareholder lawsuits in the last quarter century.
Prior to founding Israel David LLC, Mr. David was a partner from 2005 to 2022 at the elite international law firm of Fried, Frank, Harris, Shriver & Jacobson LLP, and was an associate at that firm from 1996 to 2005. Mr. David has also served as trusted advisor to some of the world’s largest private equity and hedge funds, providing counsel on matters in relation to fiduciary duties, disclosure matters, and various sensitive issues faced by fund sponsors and general partners.
Among his notable representations in the securities arena are:
- Counsel to a former director of Nissan Motor Corporation in a class action securities litigation in the US District Court for the Middle District of Tennessee.
- Counsel to Royal Caribbean Cruises, Ltd. and its senior-most officers in a class action securities litigation in the US District Court for the Southern District of Florida. The court granted the motion to dismiss.
- Counsel to Wells Fargo & Company, its predecessor, Wachovia Corporation, and Wachovia’s senior-most officers and directors in a class action securities litigation in the US District Court for the Southern District of New York arising out of the financial collapse of Wachovia. The court granted the motion to dismiss in what was one of the largest class action securities fraud lawsuits in US history to obtain a complete dismissal.
- Counsel to the President of Lehman Brothers in a class action securities litigation in the US District Court for the Southern District of New York (and in numerous other lawsuits throughout the US) arising out of the collapse of Lehman Brothers – the largest corporate financial collapse in US history. These cases were all resolved favorably, either via the courts granting the motion to dismiss or a favorable settlement.
- Counsel to all outside members of the Board of Directors of JPMorgan Chase & Co. in a shareholder litigation in New York State Supreme Court arising out of the company’s alleged involvement in various LIBOR issues and matters. The court granted the motion to dismiss.
- Counsel to all of the underwriters of the General Motors Company 2010 IPO – the then-largest IPO in US history – in a class action securities litigation in the US District Court for the Southern District of New York arising out of the GM IPO. The court granted the motion to dismiss. On appeal, the United States Court of Appeals for the Second Circuit affirmed the dismissal.
- Counsel to eight globally leading banks in a class action securities litigation in the US District Court for the Southern District of New York involving the issuance of approximately US$26 billion of Residential Mortgage Backed Securities (RMBS) – in one of the largest civil RMBS cases in US history. The court granted the motion to dismiss for five of the banks, and the remaining three banks obtained a favorable settlement.
- Counsel to two members of the Board of Directors of The Weinstein Company in three separate lawsuits (including a class action lawsuit) in front of three separate judges in the US District Court for the Southern District of New York arising out of improprieties allegedly perpetrated by the company’s co-founder. In each case, the court granted the motion to dismiss.
- Counsel to Navios Maritime Holdings Inc., an Athens-based global shipping company, and its board of directors in two shareholder class action litigations in the US District Court for the Southern District of New York arising out of public tender offers made by the company in 2017 and 2018, respectively. Both of these cases were ultimately voluntarily withdrawn by the plaintiffs without payment to the class or its attorneys.
- Counsel to ChinaCast Education Corporation and its outside directors in a class action securities litigation in the US District Court for the Northern District of California. The court granted the motion to dismiss. On appeal, the Ninth Circuit reversed and remanded.
- Counsel to The Procter & Gamble Company and its senior-most officers in a class action securities litigation in the US District Court for the Southern District of Ohio. The court granted the motion to dismiss nearly in its entirety, with a favorable settlement of the remainder of the case.
- Counsel to Aerie Pharmaceuticals, Inc. and its senior-most officers and directors in a class action securities litigation in the US District Court for the District of New Jersey. The court granted the motion to dismiss
- Counsel to The Beacon Group Focus Value Fund, a private equity fund affiliated with JPMorgan Chase & Co., in a class action securities litigation (and in numerous other lawsuits throughout the US) consolidated within the “In re National Century Financial Enterprises, Inc.” Multidistrict Litigation in the US District Court for the Southern District of Ohio. The court granted the motion to dismiss.
- Counsel to PDI – a leading pharmaceutical commercialization company – and its senior-most officers in a class action securities litigation in the US District Court for the District of New Jersey. The court granted the motion to dismiss.
- Counsel to Terex Corporation and its senior-most officers in a class action securities litigation in the US District Court for the District of Connecticut. The court granted the motion to dismiss nearly in its entirety, with a favorable settlement of the remainder of the case.
- Counsel to three former members of the investment manager of Tetragon Financial Group Limited, a publicly-traded closed-ended investment company, in a shareholder litigation in the US District Court for the Southern District of New York. The court granted the motion to dismiss.
- Counsel to the Chairman of Jason Industries Inc., a publicly-traded Wisconsin company, in a shareholder litigation in New York State Supreme Court. The court granted the motion to dismiss.
- Counsel to CIT Group and its senior-most officers and directors in a class action securities litigation in the US District Court for the Southern District of New York. A favorable settlement of the case was obtained.
- Counsel to the Chairman and CEO of Suntech Power Holdings Co. in a class action securities litigation in the US District Court for the Northern District of California alleging that the company issued misleading financial statements. A favorable resolution of the case was obtained.
- Counsel to Quadra Realty Trust, Inc. (which was a publicly-traded REIT) and the independent members of its Board of Directors in a shareholder class action litigation in New York State Supreme Court arising out of the sale of the company. The court granted the motion to dismiss.
Mr. David is frequently sought out for his deep experience and thought leadership in the securities litigation arena having achieved numerous high-profile favorable results, and is frequently cited in leading publications ranging from the Financial Times to the Harvard Law School Forum on Corporate Governance. Mr. David is a prolific writer and commentator on litigation issues regarding securities and shareholder litigation, and is co-author of a chapter in the leading treatise, Settlement Agreements in Commercial Disputes: Negotiating, Drafting and Enforcement, published by Wolters Kluwer.
